Product Specific Terms

Effective date: November 12, 2025

Use of certain Services features are subject to these Product Specific Terms (the “Product Specific Terms”), which are incorporated by this reference into our Terms of Service and/or Enterprise Agreement (as applicable, the “Agreement”).  Capitalized terms not defined herein have the meaning given in the Agreement. In the event of any conflict between a specific term of the Agreement and a specific term of these Product Specific Terms, the specific term of these Product Specific Terms shall govern. These Product Specific Terms may be updated by Pano from time to time upon reasonable notice (which may be provided through the Services or by posting an updated version of these Product Specific Terms on the Website).

  1. Beta Products / Ancillary Product
    1. This paragraph applies to any feature, products or services offered on a trial, evaluation, or beta basis (“Beta Products”) and any of the ancillary products identified below or otherwise (“Ancillary Products”).  You acknowledge that the Beta Products / Ancillary Products are experimental in nature and may contain bugs, errors, and other issues. We reserve the right to modify, suspend, or discontinue the Beta Products / Ancillary Products at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Beta Products / Ancillary Products. The beta period will continue until terminated by us. We reserve the right to terminate your access to the Beta Products / Ancillary Products at any time without notice. Notwithstanding anything to the contrary, the Beta Products / Ancillary Products are provided "AS IS" without warranty, indemnity, or support of any kind and Pano will bear no liability for any indirect, special, incidental, punitive or consequential damages of any kind, relating to the Beta Products / Ancillary Products or their use, regardless of whether Pano was advised of the possibility of such damages. Pano’s liability for direct damages related to any Beta Product / Ancillary Products or its or their use will not exceed, in the aggregate, US$100.
  1. User Guides, Roadmaps, and Other Statements 
    1. Any user guides, roadmaps and other statements we may make (whether written or oral) regarding current or future product, services, or business plans are provided for informational purposes only, are not, and shall not be, incorporated into any contract, are subject to change, and do not represent our commitment to deliver any product or service (which remain at our sole discretion). All stated values are approximate and actual performance may vary. Customer testimonials and case studies represent individual experiences and results may vary. User guides and roadmaps are Pano Confidential Information.
  1. Location, Map, and Other Information
    1. The Services may include location information, information provided by users (e.g., User Submissions), and/or information provided by third parties (e.g., weather, fire perimeter, conditions, private or other map layers). 
    2. Without limiting other disclaimers in the Agreement, (i) all location information (e.g. bearings, latitudes, longitudes, elevations, ranges, distances, cones and viewsheds) is estimated only, and (ii) all information provided by a user and/or third party (collectively, “Third Party Content”) is provided by such user and/or third party “AS IS”. Pano is not responsible for the content of such information, nor does Pano guarantee its accuracy, appropriateness, or completeness. Additional risks may exist. Actual location or conditions may vary. Certain conditions and factors may increase the margin of error or otherwise affect performance (e.g., number of Pano Stations or cameras, weather conditions, terrain, topography, other environmental factors, availability of connectivity or power, etc.). Please exercise your independent judgment and use all available information at your disposal to make informed decisions. 
    3. Without limiting the foregoing, Third Party Content is provided without warranty, indemnity, or support of any kind and Pano will bear no liability for any direct, indirect, special, incidental, punitive or consequential damages of any kind, relating to Third Party Content or its use, regardless of whether Pano was advised of the possibility of such damages. You release Pano from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to Third Party Content. You shall and hereby do waive California Civil Code Section 1542 or any similar law of any jurisdiction, which says in substance: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” 
  1. Pano360
    1. In addition to the Acceptable Use Policy, the following applies to your use of Pano360. 
    2. You represent, warrant, and agree that you:
      1. may not use the Services for surveillance of individuals;
      2. may only use Optical Zoom when there is a suspected or actual fire incident or for other safety or emergency reasons;
      3. may only share information with non-logged in users via the expiring URL generated using the share button on the incident page; and
      4. such expiring URLs may only be shared with fire professionals.
    1. IMPORTANT: THE SERVICES ARE NOT INTENDED TO REPLACE, AND IN EMERGENCY SITUATIONS ALWAYS FOLLOW, OFFICIAL EMERGENCY ALERTS, EVACUATION ORDERS, EMERGENCY SERVICES GUIDANCE, ESTABLISHED EMERGENCY PROTOCOLS AND/OR CHAIN OF COMMAND. THE SERVICES PROVIDE SUPPLEMENTAL INFORMATION ONLY AND SHOULD NEVER BE SOLELY RELIED UPON FOR THREAT DETECTION AND RESPONSE.
  1. Private Map Layers
    1. The Services may include features for you to add geospatial layers of your assets to the Services (“Private Map Layers”). This paragraph applies to your use of Private Map Layers.  You hereby grant (and represent and warrant you have the right to grant) to Pano a non-exclusive right and license to use the map layer file you have provided to Pano (“Customer Map File”) for the purpose of operating, supporting, and providing the Services to you and third parties you direct Pano to share the Private Map Layers with. This includes the right to modify the Customer Map File (in Pano’s sole discretion) including to support compliance, user experience, and/or product performance. Pano is not liable for the content or accuracy of the modified Customer Map File. Between the parties, you are responsible for the Customer Map File (including for its accuracy and appropriateness). You will not provide any Customer Map File that (a) unless otherwise mutually agreed, is Protected Critical Energy/Electric Infrastructure Information (CEII) or similar regulated information as defined under applicable law or (b) otherwise violates our Acceptable Use Policy. As between the parties, you retain all right, title and interest (including all intellectual property rights) in and to the Customer Map File. Private Map Layers is an Ancillary Product.
  1. Microsite
    1. The Services may include features for Pano to host a public website (“Microsite”) that includes Pano Stations to which you have an active subscription (“Microsite Stations”) and associated data.  The following applies if you are participating in a Microsite.
    2. You acknowledge that Pano may (i) include the Microsite Stations and associated data in the Microsite and make the Microsite available to the public, (ii) permit Microsite users to access and use the Microsite Station data through the Microsite per the Microsite terms of service, and (iii) use your name in the Microsite and Microsite URL. Pano has the sole right to determine if and how to use the Microsite Stations and associated data, if at all, in the Microsite and may remove any of the foregoing at any time. The Microsite is an Ancillary Product.
    3. You will link to the Microsite from your website and provide attribution to Pano per Pano’s guidelines. The Microsite may be branded with your trademarks in accordance with your trademark usage guidelines.  Links to the Microsite from your Website may be branded with Pano trademarks in accordance with Pano’s trademark usage guidelines. Each party will have the right to inspect and to withhold or suspend rights to use its trademarks if the quality is not satisfactory to such party in its sole discretion. 
    4. Each party may reference the other's party’s name in press releases, public announcements, and marketing materials related to the Microsite. Prior to any public reference, the party intending to make the announcement will provide the other party with a reasonable opportunity to review and approve (which shall not be unreasonably withheld or delayed) and follow any communicated brand guidelines. Consent is not required for any non-public references, such as in materials shared with current and prospective customers, partners, investors, and the like.
    5. Where separately agreed upon, the Microsite may include Pano Stations from other entities and/or Microsite Station may be shared on other Microsites for other entities (“Microsite Entities”). If there is a dispute between you and any Microsite Entity, you agree that Pano is under no obligation to become involved and you release Pano, its directors, officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes. You shall and hereby do waive California Civil Code Section 1542 or any similar law of any jurisdiction, which says in substance: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
  1. Government Agencies
    1. Pano may engage in outreach to government agencies and other first responder organizations (“Agencies”) regarding the Services. You acknowledge that the Agencies, and not Pano,  determine whether or not they decide to use the Services and how they choose to use the Services (including whether or not they onboard or offboard from the Services or receive, suppress, or act upon alerts or cover any specific geographic area). PANO IS NOT RESPONSIBLE FOR AND DOES NOT ASSUME ANY LIABILITY FOR ANY ACTIONS OR INACTIONS TAKEN BY AGENCIES. You release Pano, its directors, officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to the acts or inactions of Agencies. You shall and hereby do waive California Civil Code Section 1542 or any similar law of any jurisdiction, which says in substance: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” 
    2. If you are an Agency, you agree that Pano has the right, but not the obligation, to share Agency names with other customers.
  1. Alert Area
    1. The Services may include features for Agencies to set up alert areas for receiving alerts (“Alert Areas”).  This paragraph applies to use of Alert Area(s).  These Alert Areas are determined by the Agency (e.g., may be based on county boundaries or custom areas). If you are setting up Alert Area(s), you understand and agree that: (i) you have the authority to set up Alert Area(s) on behalf of your Agency, (ii) the Alert Area(s) apply to your entire Agency, (iii) your Agency will be configured to only receive notifications estimated to be within, and not receive notifications estimated to be outside of, the Alert Area(s), (iv) your Agency, not Pano, is responsible for confirming the accuracy and appropriateness of the Alert Area(s), and (v) as noted above in Section 3, all location information (e.g., county boundaries), are estimated only and provided "AS IS” by third parties. Pano has the right, but not the obligation, to share Agency Alert Area(s) with other customers. Alert Area(s) is an Ancillary Product.
